End User License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and watchLAB, LLC (“watchLAB,” “we,” “us,” or “our”), governing your use of the Rbac internal back-office software application (“Software”).
1. Internal-Use License
The Software is licensed, not sold, for internal use by watchLAB, LLC and its affiliated portfolio companies. watchLAB grants Users a non-exclusive, non-transferable, revocable license to use the Software solely for internal business operations including financial reporting, accounts receivable and payable reconciliation, and cash-flow analysis. The Software is not distributed, sold, sublicensed, or made available to any party outside watchLAB, LLC and its affiliated portfolio companies.
2. Permitted Users
Use of the Software is limited to:
- Employees and contractors of watchLAB, LLC
- Owners, employees, and authorized representatives of watchLAB’s affiliated portfolio companies
- Authorized accounting and financial professionals engaged by watchLAB or its affiliates
3. Restrictions
Users shall not:
- Copy, modify, reverse engineer, decompile, or disassemble the Software
- Distribute, sell, lease, sublicense, or otherwise transfer the Software to any third party
- Use the Software for any unlawful purpose
- Remove or alter any proprietary notices, trademarks, or copyright designations
- Use the Software to access accounting data of entities outside watchLAB and its affiliated portfolio companies
4. Data and Privacy
The Software accesses financial data from authorized QuickBooks Online accounts solely for the internal reporting purposes described above. Use of the Software is subject to watchLAB’s Privacy Policy. watchLAB does not sell, share, or transfer accounting data accessed through the Software to any third party. All data is stored on systems controlled by watchLAB or its affiliates.
5. Intellectual Property
All right, title, and interest in and to the Software, including all intellectual property rights therein, are and shall remain the exclusive property of watchLAB, LLC.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WATCHLAB, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO USE OF THE SOFTWARE.
8. Termination
watchLAB may terminate or suspend access to the Software at any time, with or without notice, for any reason. Upon termination, all rights granted under this Agreement shall immediately cease.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.
