Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, software, and services provided by watchLAB, LLC (“watchLAB,” “we,” “us,” or “our”), including without limitation watchlab.com and any internal applications operated by watchLAB or its affiliated portfolio companies (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Use of Services

The Services are provided for legitimate business and informational purposes. Use of internal software applications operated by watchLAB is restricted to authorized personnel of watchLAB and its affiliated portfolio companies, and is governed by a separate End User License Agreement.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services.

3. Accounts and Access

Where access credentials are issued, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify watchLAB immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, harmful, or fraudulent purpose
  • Attempt to gain unauthorized access to any portion of the Services or to any systems, networks, or data connected to the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or attempt to extract the source code of any software component of the Services
  • Use any automated means to access the Services without prior written consent

5. Intellectual Property

All content, software, trademarks, logos, and other materials made available through the Services are the property of watchLAB, LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without prior written consent.

6. Third-Party Services

The Services may integrate with third-party platforms (including, without limitation, Intuit QuickBooks Online). Use of those third-party platforms is subject to the terms and policies of the respective providers. watchLAB is not responsible for third-party services.

7. Privacy

Use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WATCHLAB DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WATCHLAB, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

10. Indemnification

You agree to indemnify, defend, and hold harmless watchLAB, LLC and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services or violation of these Terms.

11. Termination

watchLAB may suspend or terminate your access to the Services at any time, with or without notice, for any reason. Provisions that by their nature should survive termination shall survive.

12. Changes to These Terms

watchLAB may modify these Terms at any time. Updates will be posted on this page with a revised “Last updated” date. Continued use of the Services after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any disputes arising under or related to these Terms shall be resolved in the state or federal courts located in DuPage County, Illinois.
